PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE BOOKING OR USING ANY SERVICES

PROVIDED BY GA FILMZ, INC. BY BOOKING A SESSION, SIGNING A SERVICE CONTRACT, OR MAKING ANY PAYMENT TO GA FILMZ, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS IN THEIR ENTIRETY.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client","you," or "your") and GA FILMZ, Inc. ("GA FILMZ,""Company,""we,""us," or "our"), a professional photography and videography services company incorporated in the State of California and operating from Tracy, California. GA FILMZ's authorized representative is Gurpreet Singh. These Terms govern your access to and use of our website located at www.gafilmz.com (the "Site"), your engagement of our photography and videography services, and any contracts, invoices, or service agreements entered into between you and GA FILMZ. These Terms are incorporated by reference into any service contract or booking agreement you execute with GA FILMZ. If you do not agree with any part of these Terms, you must not book our services, use our Site, or enter into any agreement with GA FILMZ. Your continued engagement with GA FILMZ following any amendment to these Terms constitutes acceptance of the revised Terms.

2. Services Offered

2.1 Scope of Services
GA FILMZ provides professional photography and videography services in California, including but not limited to:

  • Wedding photography and videography

  • Engagement and proposal photography

  • Family and lifestyle photography

  • Birthday and milestone event photography and videography

  • Baby shower photography

  • Newborn and maternity sessions

  • Corporate and private event coverage

  • Cinematic film production for personal events

  • Vertical video coverage for events, performances, presentations, and content creation

  • Live streaming services for weddings and special events

GA FILMZ primarily serves clients throughout Tracy, Stockton, Modesto, Livermore, Pleasanton, Dublin, San Jose, Fremont, Oakland, San Francisco, San Mateo, Santa Clara, Silicon Valley, the Bay Area, and Los Angeles, California.

2.2 Service Packages and Custom Quotes
All services are subject to the specific terms set forth in a written Service Agreement or booking confirmation issued by GA FILMZ. Pricing, deliverables, coverage hours, and timelines are as specified in the applicable Service Agreement. Verbal representations or informal communications do not constitute a binding service commitment unless confirmed in a written agreement signed by an authorized representative of GA FILMZ.

2.3 Raw Footage and Raw Photos as Optional Add-Ons
By default, GA FILMZ delivers fully edited, finished photographs and video content only. GA FILMZ believes in delivering the best polished version of its work and does not include raw, unedited footage or unprocessed photographs as part of any standard package. Where a Client wishes to receive raw files, the following optional add-ons may be purchased at an additional fee as specified in the applicable Service Agreement:

  • Raw footage and raw photos delivered on a physical hard drive (hard drive included): additional fee as quoted

  • Digital download access to raw photo and video files for a limited period: additional fee as quoted

Where a raw delivery add-on is purchased, GA FILMZ retains full copyright ownership of all raw files (Section 6.1) and all restrictions on third-party commercial resale (Section 6.2) continue to apply. The Client assumes full responsibility for editing and post-production of any raw files received.

2.4 Raw Footage Delivery Packages (Vertical Coverage)
For certain stand-alone vertical video coverage service packages where raw delivery is the primary agreed deliverable (as expressly specified in a written Service Agreement), GA FILMZ may deliver raw footage on-site via direct transfer from GA FILMZ’s storage media to the Client’s device. The Client is responsible for bringing a compatible device, hard drive, SSD, SD card reader, or other appropriate storage with sufficient capacity. GA FILMZ is not responsible for delays or failed transfers caused by insufficient storage, missing adapters, incompatible devices, or slow transfer speeds on the Client’s side. Once footage has been successfully transferred and confirmed on-site by both parties, delivery is deemed complete.

2.5 Hourly Coverage Rates
For clients requiring a single medium of coverage only, GA FILMZ offers the following standard hourly rates:

  • Photography only OR videography only: $199.99 per hour, with a minimum booking of two (2) hours

  • Photography + videography combined: $399.99 per hour (see also Section 3.7 for overtime rates)

All hourly bookings are subject to a written Service Agreement and the applicable minimum coverage commitment. The minimum coverage hours are due and payable in full regardless of whether the full booked time is utilized. Hourly rates are subject to change; the rate confirmed in the applicable Service Agreement governs.

2.6 Travel Services
Services performed outside of GA FILMZ’s primary service area (Tracy, California) may be subject to additional travel fees, including but not limited to mileage reimbursement, tolls, lodging, and transportation costs. All travel fees will be disclosed and agreed upon in writing prior to the booking being confirmed.

3. Booking, Deposits, and Payment

3.1 Booking Confirmation
A booking with GA FILMZ is only confirmed upon: (a) execution of a signed Service Agreement by both parties; AND (b) receipt of the required non-refundable retainer (deposit) as specified in the Service Agreement. Until both conditions are satisfied, GA FILMZ reserves the right to accept other bookings for your requested date, and no date will be held on the basis of an inquiry, verbal agreement, or unpaid invoice alone.

3.2 Non-Refundable Retainer
All bookings require a non-refundable retainer deposit (the “Retainer”), the amount of which is specified in your Service Agreement. Unless otherwise specified in the Service Agreement, the standard Retainer is fifty percent (50%) of the total service fee, due at the time of booking. The Retainer compensates GA FILMZ for: (a) reserving your date exclusively; (b) declining other potential bookings for that date; and (c) preparation and pre-event planning. The Retainer is non-refundable under all circumstances, including but not limited to cancellation by the Client, weather, personal circumstances, or force majeure events.

3.3 Payment Schedule
Unless otherwise specified in the Service Agreement, the following payment schedule applies:

  • Non-refundable Retainer (50%): Due at time of booking confirmation to secure the date

  • Remaining Balance (50%): Due no later than fourteen (14) days prior to the scheduled event date, or by the specific due date stated in the Service Agreement, or on the day of coverage before filming begins for same-day balance bookings

GA FILMZ reserves the right to cancel a booking without refund of the Retainer if the remaining balance is not received by the due date. For bookings made within fourteen (14) days of the event, full payment is due at the time of booking.

3.4 Accepted Payment Methods
GA FILMZ accepts payment by the following methods. All payments must be made in U.S. dollars:

  • Zelle (recommended — no processing fee): 408-786-6279

  • Venmo (up to 3% processing fee may apply): venmo.com/u/gafilmz

  • PayPal (Personal): @GurpreetSingh874

  • Credit card or debit card: as available at the time of booking

  • Bank transfer (ACH): as arranged in advance with GA FILMZ

 

3.5 Late Payments
Any balance not received by its due date shall accrue interest at the rate of one and one-half percent (1.5%) per month (or the maximum rate permitted by California law, whichever is less) from the due date until the date of actual payment. GA FILMZ also reserves the right to withhold delivery of any photographs, videos, or other deliverables until all outstanding balances are paid in full.

3.6 Returned Payments
In the event of a returned or failed payment (e.g., bounced check, declined transaction), a returned payment fee of thirty-five dollars ($35.00) will be charged, and the outstanding balance must be settled within seventy-two (72) hours to avoid cancellation of the booking.

3.7 Overtime and Additional Coverage Time
Each Service Agreement specifies a defined start time and end time for coverage (the “Scheduled Coverage Period”). If the Client requests GA FILMZ to continue coverage beyond the end of the Scheduled Coverage Period, the following terms apply:

  • Overtime must be requested and approved by a GA FILMZ representative on-site at the event; GA FILMZ is not obligated to stay beyond the Scheduled Coverage Period;

  • Overtime is billed at the hourly overtime rate specified in the Service Agreement. Standard overtime rates are: $199.99 per hour for photography only or videography only coverage; $399.99 per hour for combined photo + video coverage. The rate confirmed in the Service Agreement governs;

  • Overtime is billed in thirty (30) minute increments;

  • Overtime charges are due and payable on-site or within forty-eight (48) hours following the event, by the same payment method used for the original booking.

GA FILMZ shall not be in breach of the Service Agreement for declining to provide overtime coverage if prior arrangements have not been made or if GA FILMZ personnel have other professional commitments following the Scheduled Coverage Period.

4. SMS Communications Terms

GA FILMZ, Inc. may communicate with you via SMS/MMS text message in connection with your booking and services. The following terms govern all SMS communications between GA FILMZ and its clients. By providing your mobile phone number and opting in, you agree to the terms in this Section.

4.1 SMS Consent and Non-Sharing of Phone Numbers
The information (phone numbers) obtained as part of the SMS consent process will not be shared with third parties for marketing purposes. Your mobile number and SMS opt-in status are used solely by GA FILMZ and its authorized SMS platform provider (RingCentral) to deliver communications on our behalf. We do not sell, rent, or share SMS opt-in data with any third party for their own marketing use.

4.2 Types of SMS Communications
If you have consented to receive text messages from GA FILMZ, Inc., you may receive messages related to the following:

  • Delivery notifications — e.g.: Hi [Name], your GA FILMZ photo gallery is ready! Check your email for the delivery link. Reply STOP to opt out of SMS messaging from GA FILMZ at any time.

  • Customer care — e.g.: Hi [Name], this is GA FILMZ following up on your recent inquiry. Please reply or call us at +1 (510) 315-1556 if you have any questions. Reply STOP to opt out.

  • Marketing — e.g.: Hi [Name], it’s GA FILMZ! We have availability for [Month]. Visit gafilmz.com to book your session. Reply STOP to opt out of SMS messaging from GA FILMZ at any time.

  • Appointment reminders — e.g.: Hi [Name], friendly reminder: your session with GA FILMZ is on [Date] at [Time] at [Location]. Reply STOP to opt out of SMS messaging from GA FILMZ at any time.

Message content will be relevant to your booking, event, or relationship with GA FILMZ. Marketing messages are only sent to clients who have expressly opted in.

4.3 Message Frequency
Message frequency may vary depending on the type of communication. For example, you may receive up to 2 SMS messages per week regarding your bookings, appointments, or account status. Frequency may be higher during active booking and event periods.

4.4 Potential Fees for SMS Messaging
Please note that standard message and data rates may apply, depending on your carrier’s pricing plan. These fees may vary if the message is sent domestically or internationally. GA FILMZ is not responsible for any charges incurred from your mobile carrier. Please contact your carrier for details about your plan.

 

4.5 Opt-In Method
You may opt in to receive SMS messages from GA FILMZ, Inc. in the following way:

  • By submitting an online contact or booking form on our website (www.gafilmz.com) and checking the SMS consent box.

4.6 Opt-Out Method
You can opt out of receiving SMS messages from GA FILMZ at any time by replying STOP to any SMS message you receive from us. After sending STOP, you will receive one final confirmation message and no further marketing or promotional SMS messages will be sent to your number. You may also contact us directly at info@gafilmz.com or +1 (510) 315-1556 to request removal from our messaging list.

4.7 Help
If you are experiencing any issues with our SMS communications, reply HELP to any text message you receive from us. You can also get help directly at:

4.8 Additional Options
If you do not wish to receive SMS messages from GA FILMZ, you can choose not to check the SMS consent box on our online forms. Opting in to receive SMS messages is never a condition of booking or purchasing any service from GA FILMZ.

4.9 Standard Messaging Disclosures
The following standard disclosures apply to all SMS communications from GA FILMZ, Inc.:

  • Message and data rates may apply.

  • You can opt out at any time by texting STOP.

  • For assistance, text HELP or visit our Privacy Policy and Terms and Conditions pages at www.gafilmz.com.

Message frequency may vary.

5. Cancellation and Rescheduling Policy

5.1 Cancellation by Client
All cancellations must be submitted in writing to GA FILMZ at info@gafilmz.com. Verbal cancellations are not accepted. The following cancellation policy applies:

  • Cancellation more than 90 days before the event: Retainer is forfeited; no additional charges apply.

  • Cancellation 31–90 days before the event: Retainer is forfeited; fifty percent (50%) of the remaining balance is due.

  • Cancellation 30 days or fewer before the event: Retainer is forfeited; one hundred percent (100%) of the remaining balance is due, as GA FILMZ is unlikely to rebook the date.

Client acknowledges that these cancellation fees reflect the genuine loss suffered by GA FILMZ as a result of the cancellation and are not a penalty.

5.2 Rescheduling by Client
Clients may request to reschedule their event subject to the following conditions:

  • Rescheduling requests must be submitted in writing no less than thirty (30) days prior to the original event date;

  • Rescheduling is subject to GA FILMZ’s availability on the new requested date;

  • One (1) complimentary rescheduling is permitted with more than sixty (60) days’ written notice. Subsequent rescheduling requests or requests made with fewer than sixty (60) days’ notice may incur a rescheduling fee of up to twenty-five percent (25%) of the total contract value;

  • If GA FILMZ is unavailable on the requested new date, the cancellation policy in Section 5.1 will apply.

5.3 Cancellation by GA FILMZ
In the rare and unlikely event that GA FILMZ must cancel a confirmed booking due to unforeseen circumstances (including serious illness, injury, or other emergency), GA FILMZ will: (a) make all commercially reasonable efforts to refer a qualified substitute photographer/videographer; and (b) in the event no substitute is secured, refund all payments made by the Client, including the Retainer. GA FILMZ’s liability in such circumstance shall be limited solely to the refund of payments received and shall not extend to any consequential, incidental, or punitive damages.

5.4 Weather and Outdoor Events
GA FILMZ does not cancel bookings due to weather conditions unless the event itself is cancelled by the Client or venue. Outdoor sessions subject to weather shall be rescheduled pursuant to Section 5.2. GA FILMZ will work with the Client to capture the best possible results under prevailing conditions but makes no guarantees regarding lighting, environmental aesthetics, or weather-related outcomes.

6. Intellectual Property and Copyright

6.1 Ownership of Work Product
All photographs, video footage, edited images, cinematic films, raw footage files, and other creative works produced by GA FILMZ (collectively, “Work Product”) are and shall remain the exclusive intellectual property of GA FILMZ, Inc. GA FILMZ retains full copyright ownership over all Work Product under the United States Copyright Act (17 U.S.C. § 101 et seq.) and applicable international copyright law, regardless of payment or the delivery format of the Deliverables.

6.2 Client License
Upon receipt of full payment of all amounts due under the applicable Service Agreement, GA FILMZ grants the Client a non-exclusive, non-transferable, royalty-free license to use, display, reproduce, and share the Deliverables for personal and business purposes, including: personal use, social media sharing, family distribution, personal printing, internal business use, and online publication on the Client’s own platforms and channels. This license does not include the right to: (a) resell, sublicense, or transfer the Deliverables to any third party for standalone commercial resale or stock licensing; (b) use the Deliverables in paid third-party advertising campaigns or stock photography/video libraries without GA FILMZ’s prior written consent; or (c) alter, distort, or apply filters to the Deliverables in a manner that materially misrepresents the Work Product of GA FILMZ.

6.3 RAW and Unedited Files
Except where a raw delivery add-on has been expressly purchased pursuant to Section 2.3 or a raw delivery package agreed pursuant to Section 2.4, GA FILMZ does not deliver RAW, unedited, or unprocessed files to Clients. Where raw files are delivered under a purchased add-on or raw delivery package, GA FILMZ retains full copyright ownership of all such files (Section 6.1) and all license restrictions (Section 6.2) continue to apply.

6.4 GA FILMZ Portfolio and Marketing License
The Client grants GA FILMZ a perpetual, worldwide, royalty-free license to use, display, reproduce, and publish any Deliverables and Work Product for GA FILMZ’s business purposes, including but not limited to: portfolio display, website use, social media marketing, print advertising, contest submissions, and editorial publications. GA FILMZ will exercise reasonable care not to use images in a manner that would embarrass the Client. If the Client wishes to restrict the use of their images for marketing purposes, they must submit a written opt-out request to GA FILMZ prior to the first event date. Such restriction may affect pricing and must be agreed upon in writing.

6.5 Third-Party Copyright
The Client is responsible for obtaining all necessary permissions, licenses, and rights for any third-party copyrighted material that may appear in photographs or videos, including but not limited to: venue-specific music, artwork displayed on location, branded or trademarked items, and licensed characters. GA FILMZ shall not be liable for any copyright infringement claim arising from third-party material captured during the provision of services.

7. Deliverables and Delivery

7.1 Deliverables
The specific photographs, videos, live stream services, raw footage, and other Deliverables to be provided are as set forth in the applicable Service Agreement. Unless otherwise stated in a written Service Agreement, the following general delivery guidelines apply for edited deliverable packages:

  • Photography sessions (non-wedding): Edited photographs delivered within two to four (2–4) weeks of the session date;

  • Wedding and multi-day event photography and videography: Final edited photos and videos delivered within two to four (2–4) weeks after the last event date, depending on workload and turnaround queue at the time;

  • Cinematic/highlights films: Delivered within the timeline specified in the Service Agreement.

All delivery timelines are estimates and may vary depending on session complexity, volume of footage, editing requirements, and seasonal demand. GA FILMZ will communicate any significant delays to the Client. Where a specific delivery date is stated in the Service Agreement, that date governs over the general guidelines above.

7.2 Delivery Method
Deliverables will be provided by one of the following methods as specified in the applicable Service Agreement:

  • Digital delivery: via private online gallery link, cloud storage platform, or other digital delivery method as determined by GA FILMZ. Digital galleries will remain accessible for a minimum of sixty (60) days following delivery, after which GA FILMZ is not responsible for archiving or maintaining copies of the Deliverables;

  • On-site handoff: for applicable raw footage delivery packages, footage may be transferred directly from GA FILMZ’s storage media to the Client’s device on-site immediately following coverage, as described in Section 2.4.

Regardless of delivery method, the Client is solely responsible for downloading, backing up, and permanently preserving all Deliverables. GA FILMZ is not responsible for loss of Deliverables after delivery has been completed.

7.3 Editing and Artistic Style

GA FILMZ employs a consistent and signature editing style as showcased in its portfolio at www.gafilmz.com. The Client acknowledges that they have reviewed GA FILMZ’s portfolio and accepts the Company’s artistic approach. Requests for significant stylistic departures from GA FILMZ’s established aesthetic must be discussed and agreed upon in writing prior to the event. GA FILMZ does not offer heavy retouching, body modification, or facial reconstruction as standard editing services. Such requests may be available as a premium add-on at additional cost. Duplicate and technically poor images will be removed prior to delivery at GA FILMZ’s professional discretion.

7.4 Revisions Policy
Unless otherwise specified in the Service Agreement, the following revisions policy applies:

  • Edited photo gallery: No revisions are included. The gallery is delivered as a curated, finished product.

  • Highlights video: No revisions are included, as the highlights film is a creative editorial work reflecting GA FILMZ’s artistic vision.

  • Full event videos: One (1) round of revisions is included per full event video delivered.

All revision requests, where included, must be submitted in writing within seven (7) days of the delivery of the applicable Deliverable. Revision requests submitted after the seven (7) day window will not be accepted without additional charge. Any revision rounds beyond the included round will be charged at one hundred fifty dollars ($150.00) per revision round, payable in full before revisions commence.

7.5 Number of Edited Images
The minimum guaranteed number of edited images or video length is as specified in the Service Agreement. GA FILMZ does not guarantee a specific maximum number of edited deliverables. The final quantity of edited images or footage is at the professional discretion of GA FILMZ based on the quality and content captured.

7.6 Rejection of Deliverables
GA FILMZ does not offer refunds based on the Client’s subjective dissatisfaction with the artistic style, color grading, quantity (provided minimums are met), or creative choices made by GA FILMZ. If the Client believes that the Deliverables materially fail to meet the specific written specifications in the Service Agreement, they must submit a written notice of objection within fourteen (14) days of delivery. GA FILMZ will review the objection in good faith and may offer reasonable remedies at its sole discretion.

8. Live Streaming Services

8.1 Scope of Live Streaming
Where live streaming services are included in a Service Agreement, GA FILMZ will provide live video broadcast of the specified event segment (e.g., wedding ceremony) for the duration and via the platform specified in the Service Agreement. Live streaming allows remote guests and loved ones to watch the event in real time.

8.2 Technical Limitations and No Guarantee of Continuous Stream
Live streaming is inherently dependent on factors outside of GA FILMZ’s control, including but not limited to: internet connectivity and bandwidth at the venue, venue Wi-Fi infrastructure, third-party streaming platform availability (e.g., YouTube Live, Facebook Live, or other platforms), power supply, audio system compatibility, and signal interference. GA FILMZ will use professional-grade equipment and make all commercially reasonable efforts to deliver a continuous, high-quality live stream. However, GA FILMZ cannot and does not guarantee an uninterrupted stream, specific video or audio quality, or the availability of any third-party streaming platform.

8.3 Client Responsibilities for Live Streaming
The Client is responsible for: (a) confirming in advance whether the venue has reliable internet connectivity sufficient for live streaming; (b) notifying GA FILMZ of any venue restrictions on internet access, Wi-Fi usage, or streaming platforms; (c) providing GA FILMZ with access to the venue’s Wi-Fi credentials or arranging for adequate internet access at the event location; and (d) informing all remote viewers that stream quality and continuity cannot be guaranteed.

8.4 Liability for Live Stream Failures
GA FILMZ shall not be liable for: (a) any interruption, degradation, or failure of the live stream caused by internet connectivity issues at the venue, third-party platform outages, or other circumstances beyond GA FILMZ’s direct control; (b) the actions of any third-party streaming platform, including but not limited to platform downtime, content removal, or account restrictions; (c) audio limitations caused by the venue’s sound system or ambient noise. In the event of a complete live stream failure due solely to GA FILMZ’s own equipment malfunction (and not venue or third-party platform issues), GA FILMZ’s liability shall be limited to a partial refund of the live streaming fee component as agreed in good faith between the parties.

8.5 Recording and Redistribution of Live Stream
GA FILMZ is not responsible for how remote viewers record, screenshot, share, or redistribute any portion of the live stream once it has been broadcast. The Client acknowledges that persons appearing in the live stream — including guests, family members, and event participants — may be viewed by an unlimited number of remote viewers and that GA FILMZ has no control over the downstream distribution of live stream content by viewers.

9. Event Locations and Venue Information

Where a Service Agreement requires the Client to confirm event locations, venue addresses, or logistical details by a specified deadline, the Client must provide all such information in writing to GA FILMZ by the stated deadline. GA FILMZ is not responsible for any missed coverage, delayed arrival, restricted access, or reduced quality of Deliverables caused by: (a) late provision of venue addresses or event schedules; (b) inaccurate or incomplete location information provided by the Client; (c) venue restrictions not disclosed to GA FILMZ in advance; or (d) last-minute changes to event timing, location, or schedule. In such circumstances, GA FILMZ will make commercially reasonable efforts to adapt to the situation, but any resulting gaps in coverage shall not constitute a breach of the Service Agreement and shall not entitle the Client to a refund or reduction in fees.

10. Client Responsibilities

10.1 Cooperation and Access
The Client is responsible for: (a) providing GA FILMZ with accurate and complete event details in a timely manner, including but not limited to the event schedule, venue addresses, vendor contact information, and any special requests; (b) ensuring that GA FILMZ personnel have safe, lawful, and timely access to all locations where services are to be performed; and (c) designating a point of contact (e.g., a wedding planner, event coordinator, or family member) to assist GA FILMZ in coordinating group shots, timelines, and access at the event.

10.2 Venue Restrictions
The Client is solely responsible for: (a) notifying GA FILMZ of any photography, videography, or live streaming restrictions imposed by the venue, officiant, or event organizer prior to the event; and (b) obtaining all necessary venue permissions for photography, videography, and live streaming. GA FILMZ will comply with all lawful venue restrictions, and any limitations on coverage resulting from such restrictions shall not constitute a breach of the Service Agreement and shall not entitle the Client to a refund or reduction in fees.

10.3 Safety
The Client shall ensure that GA FILMZ personnel can perform services in a safe working environment, free from harassment, intimidation, or physical danger. GA FILMZ reserves the right to immediately cease services and leave the event if any GA FILMZ personnel is subjected to abusive, threatening, or unsafe conduct by the Client, guests, or other vendors. In such event, GA FILMZ will retain all fees paid and shall not be liable for any incomplete coverage.

10.4 Minor Children
If the session involves minor children, the Client represents and warrants that they are the parent or legal guardian of each minor child, or that they have obtained the express written consent of each minor child’s parent or legal guardian, and that such consent authorizes GA FILMZ to photograph and/or film the minor and to use the resulting Deliverables as described in Section 6 of these Terms.

10.5 Vendor Meals
For events of four (4) or more hours in duration (including weddings and full-day events), the Client agrees to provide GA FILMZ personnel with a vendor meal at the same time as the wedding party or guests are dining. This allows GA FILMZ to maintain coverage continuity throughout the event.

11. Model Release and Consent

By booking GA FILMZ’s services, the Client, on behalf of themselves and all event participants (including guests and minor children for whom the Client has authority), grants GA FILMZ an irrevocable, worldwide, royalty-free right and license to use, publish, display, reproduce, and distribute photographs and videos taken during the provision of services for GA FILMZ’s commercial and non-commercial business purposes, including portfolio use, website, and social media marketing (as further described in Section 6.4).

For events that include live streaming, the Client acknowledges and accepts that the likeness, voice, and image of all persons present at the event may be broadcast in real time to remote viewers, and that GA FILMZ has no control over how remote viewers record or redistribute live stream content. The Client is responsible for informing their guests that live streaming will occur at the event.

This release applies unless the Client submits a written opt-out request prior to the first event date as provided in Section 6.4. The Client acknowledges that no compensation is due for such use and waives any right to inspect or approve the final published or displayed materials in which their likeness appears.

12. Limitation of Liability

12.1 Equipment Failure and Unforeseen Circumstances
While GA FILMZ employs professional-grade equipment and takes all reasonable precautions to ensure reliable service delivery, GA FILMZ cannot guarantee against equipment malfunction, memory card failure, data corruption, theft, fire, natural disaster, or other unforeseen technical failures. In the event of a total loss of all captured images or footage due solely to equipment malfunction or data corruption, GA FILMZ’s liability shall be limited to a full refund of all payments made by the Client. GA FILMZ shall not be liable for any incidental, consequential, special, or punitive damages arising from such failure.

12.2 Venue and Environmental Interference
GA FILMZ is not responsible for limitations on coverage or live stream quality resulting from venue restrictions, crowd interference, poor or inconsistent lighting conditions, obstruction by guests or other vendors, noise interference, audio system limitations, restricted access areas, internet connectivity issues at the venue, or other environmental and logistical conditions beyond GA FILMZ’s reasonable control. GA FILMZ will use its professional judgment and best efforts to capture quality coverage under the prevailing conditions.

12.3 Maximum Liability Cap
To the fullest extent permitted by applicable California law, GA FILMZ’s total aggregate liability to the Client for any and all claims arising out of or related to the Services, whether in contract, tort, negligence, or otherwise, shall not exceed the total amount of fees actually paid by the Client to GA FILMZ under the applicable Service Agreement.

12.4 No Guarantee of Specific Results
Photography, videography, and live streaming are creative and technical services influenced by numerous variables beyond GA FILMZ’s control, including: lighting conditions, weather, venue restrictions, the cooperation of subjects, the actions of other vendors, internet connectivity, and the unpredictable nature of live events. GA FILMZ warrants that it will perform its services with reasonable professional skill and care, but does not guarantee any specific outcome, composition, number of images, stream quality, or artistic result.

12.5 Exclusion of Consequential Damages
IN NO EVENT SHALL GA FILMZ BE LIABLE TO THE CLIENT FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, EMOTIONAL DISTRESS, OR COST OF SUBSTITUTE SERVICES, EVEN IF GA FILMZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

The Client agrees to defend, indemnify, and hold harmless GA FILMZ, Inc. and its owners, employees, independent contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) the Client’s breach of these Terms or any Service Agreement; (b) the Client’s negligence or willful misconduct; (c) the Client’s failure to obtain required venue, music, or third-party permissions; (d) any claim by a third party related to the Client’s use of the Deliverables or redistribution of live stream content; or (e) the presence of GA FILMZ personnel at the event location at the Client’s invitation.

14. Force Majeure

Neither party shall be in default or liable to the other for any failure or delay in performance caused by circumstances beyond that party’s reasonable control, including but not limited to: acts of God, natural disasters (earthquake, flood, fire, severe weather), pandemic or public health emergency, war, civil unrest, terrorism, governmental restrictions, power outages, or any other event outside the reasonable control of the affected party (“Force Majeure Event”).

In the event of a Force Majeure Event that prevents GA FILMZ from performing the services: (a) GA FILMZ will use commercially reasonable efforts to provide a qualified substitute photographer or videographer; (b) if no substitute is available and the event cannot be rescheduled within a mutually agreeable timeframe, GA FILMZ will refund all payments received, excluding any expenses already incurred on the Client’s behalf; (c) the Retainer shall remain non-refundable in the event the Client’s event itself proceeds but the Client elects not to reschedule or accept a substitute.

15. Dispute Resolution

15.1 Good Faith Negotiation
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or any Service Agreement (a “Dispute”), the parties agree to first attempt to resolve the Dispute through good faith written negotiation. The Client must submit a written notice of the Dispute to GA FILMZ at info@gafilmz.com within thirty (30) days of the event giving rise to the Dispute. The parties will then have thirty (30) days to attempt resolution before either party may pursue further remedies.

15.2 Binding Arbitration
If the parties are unable to resolve a Dispute through good faith negotiation, the Dispute shall be submitted to binding arbitration administered by JAMS or the American Arbitration Association (AAA) in San Joaquin County, California, in accordance with the applicable commercial arbitration rules. The arbitration shall be conducted by a single neutral arbitrator. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver
THE CLIENT AND GA FILMZ EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE CLIENT WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST GA FILMZ.

15.4 Governing Law
These Terms and any Service Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. To the extent any dispute is not subject to mandatory arbitration, both parties consent to the exclusive jurisdiction of the state and federal courts located in San Joaquin County, California.

16. Website Use and Acceptable Use Policy

16.1 Permitted Use
You may use the GA FILMZ website (www.gafilmz.com) solely for lawful purposes and in accordance with these Terms. You agree not to use the Site: (a) in any way that violates any applicable federal, state, local, or international law or regulation; (b) to transmit any unsolicited commercial communications; (c) to impersonate or attempt to impersonate GA FILMZ, its employees, or any other person; (d) to engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Site.

16.2 Intellectual Property on the Site
All content on the GA FILMZ website, including but not limited to photographs, videos, text, logos, graphics, and design elements, is the proprietary intellectual property of GA FILMZ, Inc. and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, copy, distribute, publish, or create derivative works from any Site content without GA FILMZ’s prior written permission.

16.3 Disclaimer of Warranties
THE SITE AND ALL CONTENT THEREIN ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. GA FILMZ DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

17. Reviews and Testimonials

GA FILMZ encourages clients to leave honest reviews on Google, social media platforms, and other review sites. By submitting a review or testimonial to GA FILMZ or on a public platform, you grant GA FILMZ a non-exclusive, royalty-free, perpetual license to display, reproduce, and publish your review and any associated name or photograph for marketing and promotional purposes.

GA FILMZ does not offer compensation, discounts, or other consideration in exchange for positive reviews. Reviews and testimonials displayed on our website reflect the genuine opinions of past clients.

18. General Provisions

18.1 Entire Agreement
These Terms, together with any applicable Service Agreement, constitute the entire agreement between the Client and GA FILMZ with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.

18.3 Waiver
No failure or delay by GA FILMZ in exercising any right or remedy under these Terms shall constitute a waiver of such right or remedy. No single or partial exercise of any right or remedy shall preclude any further exercise thereof or the exercise of any other right or remedy.

18.4 Assignment
The Client may not assign or transfer their rights or obligations under any Service Agreement or these Terms without the prior written consent of GA FILMZ. GA FILMZ may assign these Terms and any Service Agreement in connection with a merger, acquisition, or sale of all or substantially all of its business assets, provided that the assignee assumes all obligations hereunder.

18.5 Amendments
GA FILMZ reserves the right to amend these Terms at any time. Amendments will be posted on the GA FILMZ website with an updated effective date. Your continued use of the Site or services following the posting of any amendment constitutes your acceptance of the revised Terms. Amendments shall not affect any existing, fully executed Service Agreements unless agreed to in writing by both parties.

18.6 Authorized Representative
GA FILMZ’s authorized representative for the purposes of signing Service Agreements and binding the Company is Gurpreet Singh. Any Service Agreement purporting to be executed on behalf of GA FILMZ is valid and binding only if signed by Gurpreet Singh or another person expressly authorized in writing by GA FILMZ.

18.7 Electronic Signatures
The parties agree that electronic signatures, whether provided by DocuSign, HelloSign, or similar electronic signature platforms, or by clicking an “I Agree” button, shall be deemed original signatures and shall be legally binding to the same extent as handwritten signatures under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the California Uniform Electronic Transactions Act (UETA).

Section headings in these Terms are for convenience of reference only and shall not affect the interpretation of any provision.
